Unlike other companies, Section 8 companies do not have a profit motive, and the profits earned, if any, are plowed back into the organization to achieve its objectives. These companies are allowed to accept donations and grants from individuals, corporations, and the government to pursue their objectives.
To incorporate a Section 8 company, one needs to obtain a license from the Registrar of Companies (ROC). The license can be obtained by submitting the Memorandum of Association and Articles of Association of the proposed company, along with other necessary documents. Section 8 companies enjoy certain benefits such as tax exemptions and access to government grants and subsidies. However, they are also subject to certain restrictions, such as not being allowed to pay dividends to their members, and the profits earned can only be used for the promotion of their objectives.
Who can register a Section 8 company?
Any person or entity may apply for company registration under Section 8 if it complies with the following intent: Goals should be identified to the satisfaction of the central government.
