As private limited companies are managed and regulated under the company law, they must comply with laws and regulations on structural changes. When registering a private limited liability company, the amount of authorized and paid-up capital is indicated in the MD of the company. Therefore, the company can issue new shares within the authorized capital specified in the MOA. If a company wants to issue more shares than indicated, it will need to amend its MOA. According to Section 2(8) of the Companies Act, “share capital” for 2013 is the capital authorized as the maximum share capital of a company by a company memorandum. The company can expand its business to the level of the authorized capital. In case the company has to expand the business infusing more funds than at first, the company has to increase the authorized capital by following the steps that are mentioned in this article.
